Ultrasis plc – in Administration

Paul Flint and David Costley-Wood were appointed Joint Administrators of Ultrasis plc – in Administration (the ‘Company’) on 9 October 2015.

The administration has come to an end. For further information, including the exit route from the administration, please refer to the final progress report.

At the date of the appointment, the Company and its main trading subsidiary, Ultrasis UK Ltd, were operating two distinct business units: an occupational health clinic in London trading as the Waterloo Health Clinic, and an e-health business providing online healthcare services, primarily to mental health patients.

The Waterloo Health Clinic was sold to ToHealth Ltd on 23 October 2015 and the e-health business was sold to 365 Health and Wellbeing Ltd on 21 October 2015. Further details on each of the sales are set out in the SIP 16 memorandum available below.

The Joint Administrators circulated their proposals on 16 November 2015 and these were deemed to have been approved on 26 November 2015. A copy of the proposals and the notice of deemed approval is available below.
